Professional services are delivered through direct client engagement under separately executed service agreements.

Client Engagements and Service Agreements

When you engage LOK North for professional consulting or technical services, the specific terms and conditions of that engagement will be detailed in a separate written service agreement, statement of work, project proposal, or master services agreement executed by authorized representatives of both parties. These Terms of Service serve as a general framework and are incorporated by reference into each service agreement. Each service agreement shall specify, at a minimum, the scope of work, deliverables and acceptance criteria, project milestones and timelines, fees and payment schedule, expense reimbursement policies, confidentiality obligations, intellectual property ownership and licensing provisions, warranty terms, and termination rights. Unless otherwise agreed in writing, all invoices are due and payable within thirty calendar days from the invoice date. We reserve the right to charge interest on past due amounts at the rate permitted by applicable law. We also reserve the right to suspend performance of services if any invoice remains unpaid for more than thirty days beyond the due date. Either party may terminate a project engagement by providing thirty days written notice to the other party. In the event of termination by the client for convenience, the client shall pay for all services rendered and all reasonable, non-cancellable costs and expenses incurred by us up to the effective date of termination.

Limitation of Liability

To the maximum extent permitted by applicable law in Canada, Lok North America Inc., its directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services. Our total aggregate liability shall not exceed the total amount paid by you to us in the twelve months preceding the claim. The existence of multiple claims will not expand this limitation. Some jurisdictions do not allow certain limitations, so some may not apply.

Disclaimer of Warranties

Our website and all services and materials are provided on an as is and as available basis, without any warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Lok North America Inc. expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Any dispute shall first be submitted to good faith negotiations for thirty days, then to mediation in Laval, Quebec. If unsuccessful, the dispute shall be resolved exclusively by the courts in Laval, Quebec, Canada.

Severability

If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect. No failure to exercise any right shall operate as a waiver.

Entire Agreement
